This Annual Service Agreement, (the “Agreement”), is made and entered into [DATE] between the following parties:

ESI Appliance Services Ltd ( hereafter referred to as ESI or Company ) a Limited Liability Company  currently existing under the laws of the New Zealand. Its head office is located at Unit B , 489 Rosebank Rd , Avondale , Auckland , New Zealand

AND

[CUSTOMER’S NAME], (the “Customer”), an individual whose current residence is located on [COMPLETE ADDRESS]

WHEREAS, the Company is in the business of maintenance, repair, and installation of household appliances and general household items .

WHEREAS, the Customer wishes to engage the Company’s services for Standard Appliances set out below by way of an “ Agreement “ and requires these items to be regularly maintained and repaired when and as required . Additions for other items besides Non Standard Appliances can be included as discussed and agreed ( such items are set out and included in Appendix 1 ) .

Non Standard Appliances (additional charge applicable – check Appendix 1 for rates)

  • Microwave
  • Steam Oven
  • Second Oven
  • Shock Freezer
  • Vertical or Horizontal Freezer
  • Second Refrigerator
  • Wine Preservation Cabinet
  • Vacuum Sealing Unit
  • Coffee Machine

WHEREAS, the Company is willing to provide such services to the Customer in accordance with the terms and conditions outlined here after :

1. Key Definitions

A. Scheduled Maintenance Service refers to services which the Company regularly prepares and provides to the customer, which includes (but not limited to) cleaning , maintaining and servicing of applicable items.

Annual Service Agreement Items Schedule (one time per year)

Oven

  • Check Door Seal ( replace seal if required )
  • Check Racking System
  • Check Lighting ( replace bulb if required )
  • Check Door Hinges and Handles
  • Clean and Polish Stainless Steel Door
  • Check Functionality

Cooktop

  • Check and Clean Ceramic Glass ( use ceramic cleaner and scraper ) , clean and polish Stainless Steel surface .
  • Check and Clean Gas jets
  • Check and Clean Control Knobs
  • Check and Clean Trivets
  • Check Functionality

Range Hood

  • Check and Clean Filter
  • Check Functionality

Annual  Service Agreement Items Schedule ( Provides for one visit or two visits per year )

Dishwasher

  • Run cycle through Freshener dispenser
  • Check and Clean Filter
  • Check and Clean Water connections
  • Check Functionality

Washing Machine

  • Run cycle through descaler dispenser
  • Check and Clean Water connections
  • Check Functionality

Clothes Dryer

  • Run cycle through Fragrance Dispenser
  • Check and Clean Lint Filter
  • Check and Clean Water connections
  • Check Functionality

Refrigerator

  • Check and Clean Compressor
  • Check and Clean Condenser
  • Check and Clean Fans
  • Check Lighting
  • Check Temperature Settings
  • Check Functionality

Wastemaster

  • Check and Clean
  • Check Functionality

Heat Pump / Air Conditioner

  • Check and Clean Filters
  • Check Functionality

Scheduled Annual  Service Agreement  standard hours of operation :

Monday – Friday 8 am – 5 pm

Exclusions

  • Parts supplied ( charged at a wholesale rate )
  • Non Standard items
  • Additional maintenance i.e., cleaning oven internally
  • Additional Labour associated with Built-In or Integrated cabinetry
  • Replacement Appliances
  • Re-modelling and transfer of items
  • Damage

B. Unscheduled Annual  Service Agreement – repair required ( 1 time per year covered FOC )

During the term of the Annual Maintenance Service Agreement all Standard Appliance  items are included in the Unscheduled Appliance Maintenance Service cover . ( Please note Non Standard  items are not included unless designated accordingly on the Annual Maintenance Service Agreement Items Schedule  Appendix 2 ) .

Unscheduled Maintenance Cover standard hours of operation :

  • Monday – Friday 8.00 am – 5.00 pm
  • Saturday  9.00 am – 4.00 pm

Exclusions

  • Parts supplied ( charged at wholesale rate )
  • Non Standard items
  • Additional maintenance ie cleaning oven internally
  • Additional Labour associated with Built In or Integrated cabinetry
  • Return or second visit to site $ 90.00 Inclusive GST
  • Replacement Appliances
  • Re-modelling and transfer of items
  • Damage

C. Extraordinary Appliance Breakdown Cover – repair required ( as required ) .

Refers to such services that are not covered under : A Scheduled Maintenance or B Unscheduled Maintenance routine or regular maintenance. The Extraordinary Appliance Breakdown Cover is subject to additional charges as follows :

  • Normal Call Out Charge ……… $ 135.00 Inclusive GST ( includes first 30 mins )
  • Second Call Out Charge ……. $  90.00  Inclusive GST ( includes first 30 mins )

  • Non Standard items
  • Additional Labour associated with Built In or Integrated cabinetry
  • Replacement Appliances
  • Re-modelling and transfer of items
  • Damage

2. Term

This Annual Service Agreement shall commence on [DATE] (the “Commencement Date”) and shall continue for a period of 12 months and then automatically renew until either party wishes to terminate the Agreement pursuant to Section 8 hereafter.

3. Appliance Items

The Customer shall complete a form specifying the appliance items including appliance type ,  brand , Date of Purchase or age of appliance . A copy of this form is attached in this Agreement as Appendix 2 ( designated as the “Annual Service Agreement Items Schedule ” ). Apendix 2 is to be completed with the customer at the property/house covered by this agreement.

4. Payment

Upon execution of this Agreement, the Customer shall pay a security deposit of one Month of the Agreement Charge being $ 69.00 to the Company’s Westpac  Account .

Following the first month of this Agreement and throughout the term of this Annual  Service Agreement , the Customer shall pay the monthly services for the Company’s Annual  Service Agreement on the first ( 1st )  day of the Month by direct bank debit .

The Payment of Extraordinary Appliance Breakdown Services and Exclusions will be invoiced separately directly by the 20th of the month following the date the work was completed .

Late payments will be subject to a late fee charge of $ 25.00 per payment  .

A copy of the Direct Debit authority form Apendix 3 is included with this Agreement

6. Procedures

A. Arranging Scheduled Maintenance Services

  • Customer is able to make a booking via email or telephone via the details included below :

  • ESI will use its best endeavors to book a time satisfactory to the Customer.
  • ESI will visit and inspect the customers house / premises to complete Apendix 2 prior to the signing of the Annual Service Agreement.
  • Additional work or exclusions will be charged by invoice which will be due for payment by the 20th of the following month of the date that this work was completed.

B. Arranging Unscheduled Maintenance Services

  • Customer may contact ESI at any time regarding an Unscheduled Maintenance request . Such services are available during the times indicated below.
  • Unscheduled Maintenance Cover standard hours of operation :
  • Monday – Friday 8.00 am – 5.00 pm
    Saturday  9.00 am – 4.00 pm
  • Additional work or exclusions will be charged by invoice which will be due for payment by the 20th of the following month of the date that this work was completed .

7. Notices

Any notices, requests, demands, and other forms of communications needed in writing shall be delivered to the following addresses:

Such notices shall be deemed as delivered upon the date of receipt by the party, which shall be a period of 20 days following the delivery of such notice by a certified courier service, return receipt requested. Email notices shall be deemed as received on the date of actual delivery and all such requests of services may be conducted via telephone.

8. Termination Date

Should either party desire to end this Agreement ,  written notice shall be sent to the other parties address designated in Section 7 , citing the party’s intent to terminate the Agreement. The Agreement’s termination date shall be 30 days from the date of the receipt of such notice ,  a final payment invoice including all applicable charges together with a prorated charge of the annual contract fee to the final termination date . The final invoice shall be paid on the same day of the termination date. The Company hereby agrees to reimburse the Customer with the Security Deposit the Customer has paid during the first month of this Agreement.

9. Governance

This Agreement shall be governed and constructed pursuant to the laws of New Zealand , where any conflicts or issues pertaining to this Agreement shall be brought to a court of competent jurisdiction, should either party fail to resolve any conflicts or issues between themselves.

The following parties hereby officially execute this Agreement on the date first indicated above.
